Ada 3 (tiga) kelompok teori badan hukum dalam perspektif sosiologi hukum.
Pertama, cara berhukum dengan badan hukum melalui hukum inkorporasi. Cara berhukum dari Jerman dan Anglo-American ini direpresentasikan oleh teori personalitas fiksi (the fictitious personality theory), teori personalitas buatan (the artificial personality theory), teori konsesi (the concession theory) atau teori hirarki (hierarchical theory).
Hukum inkorporasi bermakna bahwa personalitas otomatis menyandang status badan hukum bila terdapat rekognisi-formal melalui hukum publik. Negara memonopoli rekognisi formal atas status personalitas menjadi badan hukum (Rechtspersoon; Belanda) melalui hukum publik (public law) yang memuat hak dan kewajibannya.
Status badan hukum BUM Desa dalam kelompok teori ini diperoleh melalui hukum inkorporasi (incorporation law).
BUM Desa secara hipotesis menyandang status sebagai badan hukum bila hak dan kewajibannya ditentukan negara melalui hukum publik.
Kelemahannya, rekognisi- formal melalui cara berhukum inkorporasi bisa bersifat fiksi dan hirarki dengan memposisikan BUM Desa sebagai badan hukum yang dibentuk oleh negara daripada badan hukum yang diakui oleh negara berdasar kondisinya yang nyata.
Kedua, cara berhukum dengan badan hukum melalui hukum pasar. Cara berhukum ini direpresentasikan oleh kelompok teori kontrak, agregat atau kemitraan (partnership).
Hukum pasar atau hukum kontraktual bermakna bahwa personalitas otomatis menyandang status badan hukum bila terdapat kesepakatan/konsensualitas antar anggotanya. Konsekuensi dari kesepakatan kontraktual itu adalah entitas hukum yang baru (the new legal entity).
Status badan hukum BUM Desa dalam kelompok teori ini diperoleh melalui kesukarelaan dan konsensual yang disepakati antar anggotanya.
BUM Desa secara hipotesis menyandang status badan hukum melalui hukum kontraktual bila BUM Desa atau unit usahanya yang berbadan hukum ditentukan oleh hukum privat daripada hukum publik.
Kelemahannya, hukum kontraktual membentuk personalitas-individual atau kelompok pada BUM Desa sebagai badan hukum privat sehingga kekuatan modal berupa uang yang akan menguasai BUM Desa.
Ketiga, cara berhukum dengan badan hukum melalui hukum rekognisi. Cara berhukum dari Jerman dan berkembang ke Inggris dan Amerika ini direpresentasikan oleh teori entitas nyata (the real entity). Otto von Gierke adalah teoritisi real entity dan teorinya dikenal dalam literatur badan hukum di Indonesia sebagai teori organ.
Hukum rekognisi bermakna bahwa personalitas otomatis menyandang status badan hukum bila terdapat eksistensinya secara sosial dan nyata.
Status badan hukum BUM Desa dalam kelompok teori ini ditentukan oleh eksistensinya secara sosial dan nyata di Desa. Hukum tidak membentuknya secara formal. Hukum melakukan rekognisi dan menghormati eksistensinya.
Hukum rekognisi menjadi sabuk pengikat (integrasi) yang dilakukan oleh Sistem (negara dan pasar) dan BUM Desa, sekaligus mengakui keseimbangan hak dan kewajiban antara mayoritas dan minoritas dari shareholder BUM Desa yaitu pemerintah Desa dan warga Desa.
Dari ketiga cara berhukum dengan badan hukum diatas peneliti mengunggah kembali teori sosiologis badan hukum dalam penelitian yaitu teori entitas nyata (real entity) atau teori organik. Teori entitas nyata atau teori organik dipengaruhi oleh pemikiran Teori Genosssenschaft dari Otto von Gierke.
Teori Genossenschaft Otto von Gierke merupakan teori yang dilandasi moral dan hukum dalam membahas personalitas kelompok nyata (the real group personality) baik kelompok nyata yang terbentuk di perkotaan, asosiasi buruh, dan masyarakat perdesaan.
